Common use of AWARDS TO NON-EMPLOYEE DIRECTORS Clause in Contracts

AWARDS TO NON-EMPLOYEE DIRECTORS. Plan Share Awards equal to 7,772 shares shall be made to Non-Employee Directors: provided, however, that in no case shall grants to Non-Employee Directors in the aggregate exceed 30% of the shares of Common Stock available under the Plan.

AWARDS TO NON-EMPLOYEE DIRECTORS. Plan Share Awards equal to 7,772 shares Non-Employee Directors shall be made to Non-Employee Directors: providedsuch persons and in such amounts as determined by the Board of Directors of the Committee. However, however, that in no case Plan Share Awards up to _______ shares (or 30% of the number of shares available under this Plan) shall grants be made to Non-Employee Directors in the aggregate exceed 30and no individual Non-Employee Director may receive Plan Share Awards in excess of _______ shares (or 5% of the number of shares of Common Stock available under the this Plan).

AWARDS TO NON-EMPLOYEE DIRECTORS. Plan Share Awards equal to 7,772 shares Non-Employee Directors shall be made to Non-Employee Directors: provided, however, that such persons and in no case shall grants such amounts as determined by the Board or the Committee. Plan Share Awards to Non-Employee Directors in the aggregate shall not exceed 41,262 shares (30% of the number of shares of Common Stock available under this Plan) and no individual Non-Employee Director may receive Plan Share Awards in excess of 6,877 shares (5% of the number of shares available under this Plan).

AWARDS TO NON-EMPLOYEE DIRECTORS. A Plan Share Award shall be allocated to each Non-Employee Director as of the day on which the Plan is approved by stockholders of the Corporation. Specifically, on such date, each Non-Employee Director shall receive a Plan Share Award of 14,103 shares of Common Stock. Plan Share Awards equal to 7,772 shares shall be made to Non-Employee Directors: provided, however, that in no case shall grants to Non-Employee Directors in the aggregate shall not exceed 30% of the number of shares of Common Stock available under this Plan and no individual Non-Employee Director may receive Plan Share Awards in excess of 5% of the number of shares available under this Plan.
