Common use of Background Intellectual Property Clause in Contracts

Background Intellectual Property. Except as expressly set forth herein, as between the Parties, each Party is and shall remain the owner of all intellectual property that it owned or otherwise controlled as of the Effective Date or that it develops, licenses, or otherwise acquires thereafter pursuant to activities independent of this Agreement (with respect to each Party, “Background IP”).

Background Intellectual Property. Except as expressly set forth herein, as between the Parties, each Party is and shall remain the owner of all intellectual property and Confidential Information that it owned or otherwise controlled as of the Effective Date or that it develops, licenses, develops or otherwise acquires thereafter pursuant to activities independent of this Agreement (with respect to each Party, “Background IP”)License Agreement.
