BACKGROUND & PURPOSE. The Company maintains the Developers Diversified Realty Corporation Equity-Based Award Plan (as amended, modified or supplemented from time to time, the “Plan”). Among the forms of compensation contemplated by the Plan are grants of common shares and performance awards. This Agreement is adopted in furtherance of the authority to make such grants and provides for grants of common shares (each, an “Award”) to certain senior executives of the Company based on the achievement of certain goals over a specified period of time. The Award shall be subject to the terms and conditions set forth herein and in the Plan and shall be evidenced by this Agreement.

NISSAN develops and manufactures NISSAN Fuel Cells (as defined below). HOKU and NISSAN are parties to that certain MEA Engineering Agreement dated as of September 1, 2004 (the “Engineering Agreement”) and that certain Membrane & MEA Purchase Agreement dated as of September 1, 2004 (the “Purchase Agreement”), pursuant to which HOKU optimized Automotive HOKU MEA and the Automotive HOKU MEA Assembly Process to meet NISSAN’s Step 1 Goals (as defined in the Engineering Agreement), and NISSAN purchased HOKU Membrane and HOKU MEA for test and evaluation. Subject to the terms set forth herein, after further discussion by the Parties of the development plan for the Final MEA Product (as defined below) NISSAN desires HOKU to continue engineering customized HOKU MEA for use in automotive PEMFC, and to continue supplying HOKU Products for test and evaluation by NISSAN. For good and valuable consideration, the receipt and adequacy of which is hereby acknowledged, the Parties agree as follows:

The device drivers and library support that IBM provides under this Agreement are in object code form only. Appendix A of this Agreement indicates which device drivers, feature codes, etc. are available for use on server platforms that are supported. IBM uses announcements to withdraw service for device drivers, feature codes, etc., on hardware and/or operating system platforms. IBM reserves the right to change the Programs or Documentation at any time without prior notice.

BACKGROUND & PURPOSE. In light of the seriousness of the situation, the Parties have a common understanding that the companies and employees have a mutual responsibility to mitigate the consequences of the COVID-19 pandemic for both companies and employees. In order to comply with the authorities' recommendations for a gradual reopening following the COVID-19 pandemic in Denmark, the Parties agree to the temporary derogations specified in sections 4 and 5 below.
BACKGROUND & PURPOSE. (a) GPUI has expertise concerning the production, transmission, distribution and sale of electric energy.
(b) API is engaged in the business of designing, engineering, manufacturing and assembling photovoltaic ("PV") systems for the production of electric energy.
(c) GPUI has entered into a Team-Up Program Agreement (the "UPVG Agreement"), dated as of March 31, 1997, with the Utility Photovoltaic Group, Inc. ("UPVG") pursuant to which GPUI has been awarded a grant from UPVG in connection with UPVG's Cooperative Agreement with the United States Department of Energy, under which UPVG has agreed to assist in the commercialization of PV systems.
(d) The UPVG Agreement sets forth a Statement of Work (the "SOW") to be performed by GPUI in connection with the development of commercial applications for PV systems.
(e) The Members have arranged for the Company to be formed for the purpose of acting as a subcontractor and/or supplier to GPUI for purposes of performing the SOW contemplated by the UPVG Agreement, and to engage in such other business(es) as may be mutually agreed between the Members.
(f) It is contemplated that the Company will not have any employees and that therefore the bulk of the services to enable the Company to carry out its commitments in performing the SOW will be provided by or through API or other subcontractors, which will also supply material to the Company in connection therewith.
(g) Concurrently herewith the Members and the Company are entering into a Performance Agreement (the "Performance Agreement") pursuant to which the Company is agreeing to perform the SOW and API is agreeing to render services and supply material to the Company in connection therewith.
(h) The Company shall be authorized to take such actions and to transact such business in furtherance of the foregoing objectives as may be taken and transacted by limited liability companies formed under New Jersey law, including, but not limited to, transactions with affiliates or related entities, including, but not limited to, buying from or selling to, borrowing from or lending to, or leasing property from or to, such affiliates or related entities.
BACKGROUND & PURPOSE. ▇▇▇▇▇▇▇▇ County School District will be collaborating with a third-party teacher exchange sponsorship agency to enter into an agreement of collaboration with the Embassy of Spain, Education Office in Salt Lake City, Utah. This Letter of Intent is established January 25, 2018 between ▇▇▇▇▇▇▇▇ County School District and the Education Office of the Embassy of Spain. The purposes of this Letter of Intent are to:
1.1 Place teachers from Spain in K-12 teaching positions in ▇▇▇▇▇▇▇▇ County School District where the language skills, professional background and experience of the teachers can enrich the education of ▇▇▇▇▇▇▇▇ County School District students;

The Sport for All and physical activity movement has evolved in recent years and continues to gain momentum. For this reason, there is an ever-increasing need for the flagship organisations of this movement, and its closely-related sectors, to understand and cooperate with each other to lead the movement in the right direction. As home of the majority of the world population, Cities are the main place where sport policies are implemented and are the relevant vectors for sport practice. The Smart Cities & Sport Network covers a large panorama of city concerns from social inclusion, urban planning, city branding, tourism, economic development, gender equality, infrastructure management to healthy and active lifestyles. A strong alliance between TAFISA and the Smart Cities & Sport Network would create the foundation for more effective influence and could provide the level of international cooperation necessary to reach the common goals of both organisations. The purpose of this Memorandum of Understanding (MoU) is to define the principles of cooperation between TAFISA and the World Union of Olympic Cities through its Smart Cities & Sport Network. It is a non-legally binding document.
