Not later than the Effective Date, at the expense of the Company, the Representative will have obtained a background search, that is reasonably acceptable to the Representative, of each Company person as designated the Representative, including the senior officers and directors, and of the Company as determined between the Company and the Representative, giving a report of the person’s or entities, employment, education, business endeavors, and credit history among other things.
