Banking Offices. Open, close or relocate any branch office, or acquire or sell or agree to acquire or sell any branch office or deposit liabilities;

Banking Offices. File any application or enter into, extend or renew any contract with respect to the opening, establishment, location, relocation or closing of, or open, establish, relocate or close, any banking office.

Banking Offices. The Banking Offices of Assignor immediately prior to the Effective Time, as listed on Schedule 1(f) hereto, shall become branch offices of Assignee subject to the terms and conditions of this Agreement.

Banking Offices. Attached as Exhibit A is a listing of all of the banking offices of City National and Citizens Commerce as of the date of this Plan. City’s main office and branches are currently located in West Virginia, Kentucky, Virginia and Ohio, and Citizens Commerce’s main office and branches are all currently located in Kentucky. All of the existing banking offices will be retained in the Subsidiary Merger.

Banking Offices. At the Effective Time, the main banking office of the Surviving Bank shall be located in Derby, Vermont at the main office of Buyer Bank immediately prior to the Effective Time. The former offices of Seller Bank and all existing offices of Buyer Bank, except as may be otherwise provided in any agreement of Buyer Bank for sale of Seller branch offices, shall be operated as offices of the Surviving Bank immediately following the Effective Time.
