BANKS ACTING TOGETHER. If the Agent makes a declaration under clause 12.2 the Agent shall, in the names of all the Banks, take such action on behalf of the Banks and conduct such negotiations with any Borrower and any other members of the Group and generally administer the Drawings in accordance with the wishes of the Majority Banks. All the Banks shall be bound by the provisions of this clause 18.4 and no Bank shall be entitled to take action independently against any Borrower or any other member of the Group without the consent of the Majority Banks.

  • Applicable Law; Counterparts This Agreement shall be governed by and construed in accordance with the laws of the State of New York applicable to contracts made and to be performed within the State of New York.
