BA’s Agents. If BA uses a subcontractor or agent to provide services under this BAA, and the subcontractor or agent creates, receives, maintains, or transmits CE’s PHI, the subcontractor or agent shall sign an agreement with BA containing substantially the same provisions as this BAA and further identifying CE as a third-party beneficiary with rights of enforcement and indemnification from the subcontractor or agent in the event of any violation of the subcontractor or agent agreement. BA shall mitigate the effects of any violation of that agreement.
BA’s Agents. BA shall ensure that any agents, including subcontractors, to whom it provides PHI received from, or created or received by BA on behalf of, CE agree to the same restrictions and conditions that apply to BA through this Agreement with respect to such PHI.
BA’s Agents. Business Associate shall not disclose PHI to any agent or subcontractor of Business Associate except with the prior written consent of CE. BA shall ensure that any agents, including subcontractors, to who it provides PHI, agree in writing to be bound by the same restrictions and conditions that apply to BA with respect to such PHI; provided, however, that BA shall not disclose or provide access to CE’s PHI to any subcontractor or agent without the prior consent of CE.
BA’s Agents. BA shall not disclose PHI to any agent or subcontractor of BA except with the prior written consent of CE. BA’s Agents. Business Associate shall not disclose sensitive information to any agent or subcontractor of Business Associate except with the prior written consent of covered entity. Business Associate shall ensure that any agents, including subcontractors, to whom it provides sensitive information, agree in writing to be bound by the same restrictions and conditions that apply to Business Associate with respect to such sensitive information; provided, however, that Business Associate shall not disclose or provide access to Covered Entity’s sensitive information to any subcontractor or agent without the prior consent of Covered Entity.
BA’s Agents. BA shall ensure that any agents, including subcontractors, to whom it provides PHI, agree in writing to the same restrictions and conditions that apply to BA with respect to such PHI and implement the safeguards required by Paragraph A above with respect to Electronic PHI [45 CFR Section 164.504(e)(2)(ii)(D); 45 CFR Section 164.308(b)]. BA shall implement and maintain sanctions against agents and subcontractors that violate such restrictions and conditions and shall mitigate the effects of any such violation (see 45 CFR Sections 164.530(f) and 164.530(e)(1)).
