Common use of Base Fee Clause in Contracts

Base Fee. 5.1 During the Term of this Agreement, the Corporation shall pay to the Executive a fee of $250,000 per annum (the "Base Fee"), less required statutory deductions, payable in equal semi-monthly installments or as otherwise determined by the Corporation. The Executive's Base Fee will be reviewed by the Board of Directors of the Corporation from time to time, and may be increased (but not decreased) at the sole discretion of the Board of Directors, based upon such factors as the Board of Directors in its sole discretion determines are relevant, which factors may include the performance of the Corporation and the employment compensation arrangements of other corporations carrying on a similar business and of a similar size to the Corporation in Canada.
