Basic and Kicker Bonus Annual Cash Limits. If for any Bonus Year either the Basic Bonus or the Kicker Bonus individually would exceed $3 million, or the sum of the two bonuses would exceed $3 million, then payment of all such amounts in excess of $3 million (the "Excess Amount") shall be deferred (without interest) and paid or forfeited as follows: 1. One-third of the Deferred Amount shall vest on each of the next three anniversaries of the end of the applicable Bonus Year and shall be paid to you following each vesting date. 2. Notwithstanding the foregoing, but subject to subparagraph 3 below, any Deferred Amount shall vest in full upon your death, termination of employment due to your "Disability", termination by the Company other than for "Cause", your termination for a "Good Reason" (as such terms are defined in the Employment Agreement between you and the Company of even date herewith (the "Employment Agreement")) or termination of the Employment Agreement on December 31, 2008 and shall be paid to you or your legal representative within twenty (20) business days of such event. 3. If your employment with the Company terminates for any reason other than as provided in subparagraph 2 above, all Deferred Amounts then remaining hereunder shall be immediately forfeited; provided, however, that the Company shall pay to you a pro-rata performance bonus for the year of termination, as more fully set forth in Section 7(b) of the Employment Agreement.

  • Long-Term Incentive Compensation Subject to the Executive’s continued employment hereunder, the Executive shall be eligible to participate in any equity incentive plan for executives of the Firm as may be in effect from time to time, in accordance with the terms of any such plan.

  • Annual Bonus Opportunity Your annual target bonus opportunity following the Effective Date will be 50% of your annual base salary (the “Target Bonus”). The Target Bonus shall be subject to review and may be adjusted based upon the Company’s normal performance review practices. Your actual bonuses shall be based upon achievement of performance objectives to be determined by the Board in its sole and absolute discretion. Bonuses will be paid as soon as practicable after the Board determines that such bonuses have been earned, but in no event will a bonus be paid to you after the later of (i) the fifteenth (15th) day of the third (3rd) month following the close of the Company’s fiscal year in which such bonus is earned or (ii) March 15 following the calendar year in which such bonus is earned.

  • Basic Compensation (a) SALARY. Executive will be paid an annual base salary of $115,000.00, subject to adjustment as provided below (the "Salary"), which will be payable in equal periodic installments according to Employer's customary payroll practices, but no less frequently than monthly. The Salary will be reviewed by the Board of Directors not less frequently than annually, and shall be increased on each anniversary of the Effective Date during the term hereof by an amount equal to not less than ten percent (10%) of the prior year's base salary.

  • Annual Compensation The Executive's "Annual Compensation" for purposes of this Agreement shall be deemed to mean the highest level of base salary paid to the Executive by the Employers or any subsidiary thereof during any of the three calendar years ending during the calendar year in which the Date of Termination occurs.

  • Annual Bonus In addition to Annual Base Salary, Executive shall be awarded, for each fiscal year ending during the Employment Period, an annual bonus (the “Annual Bonus”) in cash at least equal to Executive’s highest annual bonus for the last three full fiscal years prior to the Effective Date (annualized in the event that Executive was not employed by the Company for the whole of such fiscal year). Each such Annual Bonus shall be paid no later than the end of the third month of the fiscal year next following the fiscal year for which the Annual Bonus is awarded, unless Executive shall elect to defer the receipt of such Annual Bonus.

  • Bonus Amount For purposes of this Agreement, "Bonus Amount" shall mean the greater of (a) the target annual bonus payable to the Executive under the Incentive Plan in respect of the fiscal year during which the Termination Date occurs or (b) the highest annual bonus paid or payable under the Incentive Plan in respect of any of the three full fiscal years ended prior to the Termination Date or, if greater, the three (3) full fiscal years ended prior to the Change in Control.
