Common use of Basic Corporate Documents Clause in Contracts

Basic Corporate Documents. Purchaser shall have delivered to Seller on the Closing Date copies of certificates from the Secretary of State in Georgia and Delaware, indicating that, as of a date within twenty (20) days prior to the Closing Date, Purchaser was in good standing, and had paid all taxes required to have been paid as of such date.
