Common use of Basic Corporate Records Clause in Contracts

Basic Corporate Records. The copies of the Articles of Incorporation of the Company (certified by the Secretary of State or other authorized official of the jurisdiction of incorporation), and the Bylaws of the Company, as the case may be (certified as of the date of this Agreement as true, correct and complete by the Company’s secretary or assistant secretary), all of which have been delivered to the Purchaser, are true, correct and complete as of the date of this Agreement.

Basic Corporate Records. The copies of the Articles of Incorporation of the Company Company, (certified by the Secretary of State or other authorized official of the jurisdiction of incorporation), and the Bylaws of the Company, as the case may be (certified as of the date of this Agreement as true, correct and complete by the Company’s secretary or assistant secretary), all of which have been delivered to the Purchaser, are true, correct and complete as of the date of this Agreement.

Basic Corporate Records. The copies of the Articles Certificate of Incorporation of the Company Corporation (certified by the Secretary of State or other authorized official of the jurisdiction of incorporation), and the Bylaws of the CompanyCorporation, as the case may be (certified as of the date of this Agreement as true, correct and complete by the Company’s Corporation secretary or assistant secretary), all of which have been delivered to the Purchaser, are true, correct and complete as of the date of this Agreement.

Basic Corporate Records. The copies of the Articles of Incorporation of the Company and any Subsidiaries, as defined in Section 3.06 hereof (certified by the Secretary of State or other authorized official of the jurisdiction of incorporation), ) and the Bylaws of the CompanyCompany and any Subsidiaries, as the case may be (certified as of the date of this Agreement as true, correct and complete by the Company’s secretary or assistant secretary), all of which have been delivered to the Purchaser, are true, correct and complete as of the date of this Agreement.

The copies of the Articles of Incorporation or Organization of each of the Company Companies (certified by the Secretary of State or other authorized official of the jurisdiction of incorporation), and the Bylaws of each of the CompanyCompanies, as the case may be (certified as within 30 days of the date of this Agreement as true, correct and complete by each of the Company’s Companies’ secretary or assistant secretary), all of which have been delivered to the Purchaser, are true, correct and complete as of the date of this Agreement.

Basic Corporate Records. The copies of the Articles of Incorporation organizational documents of the Company Company, (certified by the Secretary of State or other authorized official of the jurisdiction of incorporation), and the Bylaws of the Company, as the case may be (certified as of the date of this Agreement as true, correct and complete by the Company’s secretary or assistant secretary), all of which have been delivered to the Purchaser, are true, correct and complete as of the date of this Agreement.
