Batch Cancellation Sample Clauses
The Batch Cancellation clause allows for the simultaneous cancellation of multiple orders, transactions, or agreements as a group rather than individually. In practice, this means that if certain conditions are met—such as a system error, regulatory change, or market disruption—all affected items within the defined batch can be voided at once. This clause streamlines administrative processes and mitigates risk by ensuring that related obligations are efficiently and uniformly addressed, preventing inconsistencies or partial cancellations that could lead to disputes or operational confusion.
Batch Cancellation. Stage 3 as described in the Project Plan may be cancelled by PROTEON upon written notification to LONZA (effective upon date of receipt by LONZA) under the following schedule and cancellation fees:

(a) Subject to section 4.5 (b) and the terms and conditions of this Agreement, Molecular Insight Pharmaceuticals shall be entitled to cancel any Batch (and additional vials) ordered from Nordion during the Term of this Agreement to be entirely used solely for the purpose of Clinical Trials) at no charge by providing to Nordion at least seven (7) or more business days written notice of cancellation prior to the scheduled Batch Production Date. If an order for a Batch is cancelled with less than seven (7) business days and more than two (2) business days written notice prior to the scheduled Batch production date, ****** of the full purchase price of such Batch (and additional vials) shall be due and payable by Molecular Insight Pharmaceuticals. For a Batch (and additional vials) cancelled upon two (2) or less business days notice prior to the scheduled Batch production date, ****** of the full purchase price of the Batch (and additional vials) shall be due and payable by Molecular Insight Pharmaceuticals. * Confidential Treatment Requested *
(b) Subject to the terms and conditions of this Agreement, Molecular Insight Pharmaceuticals shall be entitled to cancel any Batch (and additional vials) ordered from Nordion during the Commercial Phase at no charge by providing to Nordion at least fifteen (15) or more business days written notice of cancellation prior to the scheduled Batch Production Date. If an order for a Batch is cancelled with less than fifteen (15) business days and more than two (2) business days written notice prior to the scheduled Batch production date, ****** of the full purchase price of such Batch (and additional vials) shall be due and payable by Molecular Insight Pharmaceuticals. For a Batch (and additional vials) cancelled upon two (2) or less business days notice prior to the scheduled Batch production date, ****** of the full purchase price of the Batch (and additional vials) shall be due and payable by Molecular Insight Pharmaceuticals.
Batch Cancellation. Upon cancellation of a Batch by Customer or expiration or termination of this Agreement, Customer shall, within [***] from written notice of the cancellation, expiration or termination, request in writing from Lonza one of the following options, at Customer’s cost, for disposition of unused Raw Materials, consumables and Special Materials purchased for Customer: (i) store, for a reasonable period of time, Raw Materials, consumables and Special Materials for a subsequent Batch of Product manufactured under this Agreement; (ii) ship Raw Materials, consumables and Special Materials to Customer or Customer’s third party designee; or (iii) dispose of the Raw Materials, consumables and Special Materials. If Customer does not provide a written request regarding the Raw Materials, consumables and Special Materials within [***] then Lonza shall decide on the disposition of the Raw Materials, consumables and Special Materials.
Batch Cancellation. Elusys may cancel any Batch (as all or part of a Binding Order) for any reason by giving written notice to Lonza. If such notice is delivered to Lonza [*****] before Lonza’s then projected commencement date for such Batch, and subject to Section 18.3, Elusys shall pay Lonza a sum equal to [*****]of the Batch Price otherwise payable for such Batch, which payment to Lonza shall become due at [*****] and such payment shall satisfy in fall all payment obligations from Elusys to Lonza with respect to such cancelled Batch(es).
Batch Cancellation. Subject to the terms and conditions of this Agreement and subject to the minimum purchase commitment in Section 4.3, Navidea shall be entitled to cancel any Batch ordered from Nordion during the Term of this Agreement by providing to Nordion written notice of cancellation at least seven (7) calendar days prior to the Scheduled Batch Production Date. For a Batch cancelled by Navidea less than seven (7) calendar days prior to the Scheduled Batch Production Date, the entire purchase price of the Batch shall be payable by Navidea and the Batch payment shall be applied against the minimum purchase commitment in Section 4.3.
Batch Cancellation. Upon cancellation of a Batch by Customer or expiration or termination of this Agreement, Customer shall, within [***] from written notice of the cancellation, expiration, or termination, request in writing from Lonza one of the following options, at Customer’s cost (except as otherwise noted in this subsection), for disposition of unused Raw Materials or consumables purchased for Customer or in the case of a Batch cancelation that were purchased solely for manufacturing such cancelled Batch: (i) store without charge Raw Materials and/or consumables for a subsequent Batch of Product to be manufactured under this Agreement; provided there are Binding Orders for subsequent Batches committed; (ii) store such Raw Materials and/or consumables for a reasonable period of time that is mutually agreeable (with at least [***] provided without charge starting on the date on which Customer provides notice of the cancellation, expiration, or termination); (iii) ship Raw Materials and/or consumables to a Customer designated location; or (iv) dispose of the Raw Materials and/or consumables. If Customer does not provide a written request regarding the Raw Materials and consumables within [***], then Lonza shall provide additional notice to Customer and, if Customer does not respond within [***], then decide on the disposition of the Raw Materials and consumables at Customer’s cost. If Customer requests Lonza to dispose of such Raw Materials, such disposal shall be at no additional cost to Customer and Lonza shall be responsible for the handling, transport, and disposal of hazardous materials and waste generated by or on behalf of Lonza in connection with any SOW unless otherwise specified in a SOW.
