Before Conveyance of Property. Before conveying the Property to Developer, and pursuant to a written Permit of Entry, PDC may allow Developer and Developer’s employees, agents and consultants to enter upon the Property, at all reasonable times whenever and to the extent necessary to carry out the purposes of this Agreement.

Before Conveyance of Property. Before conveying the Property to Developer, the City shall allow Developer and Developer’s employees, agents and consultants to enter upon the Property, at all reasonable times to perform due diligence and to carry out the purposes of this Agreement.
Before Conveyance of Property. Owner shall permit DOSO and DOSO's agents to enter upon the Property for investigatory purposes pursuant to the terms of a written standard Owner form of Permit of Entry to be issued by Owner. Without limitation, the Permit of Entry will require DOSO to restore the Property to that condition necessary to accommodate continued use for its current purpose. DOSO shall indemnify, defend and hold Owner, and its respective officers, agents and employees, harmless against any and all damages, claims, losses, liabilities and expenses, including, without limitation, reasonable legal, accounting, consulting, engineering and other expenses which may be imposed on or incurred by Owner or its respective successors or assigns, or asserted against Owner or its respective successors or assigns, by any other party or parties, arising out of any activity of DOSO, its agents, employees or contractors performed and conducted on or with respect to the Property pursuant to this Agreement.

  • Conveyance of Property In exchange for the payment of both the Purchase Price and the Buyer’s Premium in accordance with Sections 1 and 2 above, Oceaneering shall issue to Buyer a Xxxx of Sale in the form attached hereto as Schedule 2 and incorporated herein for all purposes, whereby Seller shall TRANSFER, CONVEY, SELL, DELIVER and ASSIGN to Buyer the Property in its present condition and location, free and clear of all liens, claims and other encumbrances.
