Benchmark Replacement Conforming Changes. In connection with the implementation and administration of a Benchmark Replacement, the Administrative Agent (at the direction of the Requisite Lenders and in consultation with the Borrower) will have the right to make Benchmark Replacement Conforming Changes from time to time and, notwithstanding anything to the contrary herein or in any other Credit Document, any amendments implementing such Benchmark Replacement Conforming Changes will become effective without any further action or consent of any other party to this Agreement.

In connection with the use, administration, adoption or implementation and administration of a Benchmark Replacement, the Administrative Agent (at the direction of the Requisite Lenders and in consultation with the Borrower) will have the right to make Benchmark Replacement Conforming Changes (subject to the consent rights of the Borrower set forth in such definition) from time to time and, notwithstanding anything to the contrary herein or in any other Credit Document, any amendments implementing such Benchmark Replacement Conforming Changes will become effective without any further action or consent of any other party to this AgreementAgreement or any Credit Document.

In connection with the use, administration, adoption or implementation and administration of a Benchmark Replacement, the Administrative Agent (at the direction of the Requisite Lenders and in consultation with the Borrower) will have the right to make Benchmark Replacement Conforming Changes (subject to consultation with, or the consent of the Borrower, as applicable, pursuant to the definition thereof) from time to time and, notwithstanding anything to the contrary herein or in any other Credit Loan Document, any amendments implementing such Benchmark Replacement Conforming Changes will become effective without any further action or consent of any other party to this AgreementAgreement or any other Loan Document.

Benchmark Replacement Conforming Changes. In connection with the use, administration, adoption or implementation and administration of a Benchmark ReplacementReplacement (including the amendments to this Agreement that became effective on the Amendment No. 11 Effective Date), the Administrative Agent (at will have the direction of the Requisite Lenders and right, in consultation with the Borrower) will have the right Company, to make Benchmark Replacement Conforming Changes from time to time and, notwithstanding anything to the contrary herein or in any other Credit Loan Document, any amendments implementing such Benchmark Replacement Conforming Changes will become effective without any further action or consent of any other party to this AgreementAgreement or any other Loan Document.
