Beneficiaries; Assignment. No assignment of this Agreement shall be made without the prior written consent of the other Party; provided, however, Broker may assign this Agreement to an affiliate broker-dealer. The provisions of this Agreement shall inure to the benefit of and be binding upon the successors and assigns of Parties and any other person entitled to indemnity pursuant to Paragraph 6. Except as set forth in Paragraph 6, nothing in this Agreement is intended to confer upon any other person (including stockholders, employees or creditors of the Company) any rights or remedies hereunder or by reason hereof.
