Benefit ClaimsIn the event the Executive, or his beneficiaries, as the case may be, and the Corporation disagree as to their respective rights and obligations under this Agreement, and the Executive or his beneficiaries are successful in establishing, privately or otherwise, that his or their position is substantially correct, or that the Corporation’s position is substantially wrong or unreasonable, or in the event that the disagreement is resolved by settlement, the Corporation will pay all costs and expenses, including counsel fees, that the Executive or his beneficiaries may incur in connection therewith directly to the provider of the services or as may otherwise be directed by the Executive or his beneficiaries. The Corporation will not delay or reduce the amount of any payment provided for hereunder or setoff or counterclaim against any such amount for any reason whatsoever; it is the intention of the Corporation and the Executive that the amounts payable to the Executive or his beneficiaries hereunder will continue to be paid in all events in the manner and at the times herein provided. All payments made by the Corporation hereunder will be final and the Corporation will not seek to recover all or any part of any portion of any payments hereunder for any reason.

Benefit ClaimsNo person has asserted any claim under which the Company has any liability under any Benefit Plan maintained by the Company or to which the Company is a party, or under any worker’s compensation or similar Law, which is not fully covered by insurance maintained with unaffiliated, financially sound, reputable insurers or, if not insured, for which an adequate reserve is not reflected on the Financial Statements.
Benefit Claims. You must call 0-000-000-0000 (toll free) to obtain a benefit claims form. We will examine the benefit claim upon receipt and send a response within 30 days, provided all the necessary documents have been received. 1. explain why you want the claim to be reviewed; and 2. append all additional corroborating documents to your request for review. Benefit Claims. The Committee shall be responsible for determining all claims for benefits under this Plan. Within ninety (90) days after receiving a claim, the Committee shall notify a Participant of its decision. If the decision is adverse to the Participant, the Committee shall advise him or her of the reasons for the decision, of the Plan provision involved, of any additional information the Participant must provide to perfect the claim and of the right to request a review of the decision. Regardless, an individual member of the Committee shall not participate in a decision on his or her own benefit claim. A Participant may request a review of an adverse Committee decision by written request, made within sixty (60) days after receipt of the decision, submitted to the Board. The Participant or his attorney may review pertinent documents and submit written issues and comments. Within sixty (60) days after receiving a request for review, the Board shall notify the Participant in writing of (a) its decision, (b) the reasons therefor, and (c) the Plan provisions upon which it is based.
Benefit ClaimsFor the purposes of this section, the words you, your or yours can also refer to your estate in the event of your death. In addition to the benefit claims form, please provide all corroborating documents. To make it easier to process your claim, please provide the following documents to us by their respective deadlines: 1. For life and accidental dismemberment insurance, by no later than one year after the date of death or loss; 2. For disability insurance, by no later than 90 days after the start of total disability. If proof is required to process a benefit claim and it is not provided to us, the claim could be denied. If we consider the benefits to be payable based on the information provided, we will issue a cheque payable to the creditor in the 30 days following receipt of the benefit claim and send you a confirmation of benefit payment. If the benefit claim is denied, you (or your creditor) can request a review of your file. To do so, you must: 1. explain why you want the claim to be reviewed; and 2. append all additional corroborating documents to your request for review. Benefit Claims. RadioMetrix has no liability for any benefit which has been or could be claimed as a result of any event occurring prior to the Closing Date under any Employee Benefit Plan or any workers' compensation or similar law (i) which is not fully covered by insurance, or (ii) if not so insured, for which RadioMetrix has not established an adequate reserve on RadioMetrix' Financial Statements.
Benefit Claims. Except for benefits accrued or accruing in accordance with the terms of any Employee Benefit Plan, Accentia has no liability for any benefit which has been or could be claimed as a result of any event occurring prior to the Closing under any Employee Benefit Plan or any workers’ compensation or similar Law (i) which is not fully covered by insurance, or (ii) if not so insured, for which Accentia has not established an adequate reserve in the Accentia Financial Statements.
Benefit Claims. No person or party whatsoever now has or will have on the Closing Date any claim known to Potomac under which Potomac has any liability under any health, sickness, disability, medical, surgical, hospital or similar benefit plan or arrangement (whether or not legally binding) maintained by Potomac, or to or by which Potomac is a party or is bound, or under any workers' compensation or similar law, which is not fully covered by insurance maintained with reputable, financially responsible insurers. Potomac herewith delivers to IMNF Schedule 3.20, listing all insurance contracts relating to all such benefit plans, arrangements and copies of such benefit plans themselves.
Benefit Claims. The entitlement of a Participant or his Beneficiaries to benefits under the Plan shall be determined by the Company or such party as it shall designate under the Plan, and any claim for such benefits shall be considered and reviewed under the procedures set out in the Plan.
