Benefits Generally. Effective as of the Plan Transition Date, the DevCo Group shall have taken all necessary or appropriate actions to ensure that each Aimco Benefit Arrangement that is intended to be transferred to SpinCo, as set forth on Schedule 3.1 hereto (each, a “SpinCo Transferred Benefit Arrangement”), is transferred to a member of the SpinCo Group.
