Common use of Best Efforts; Notices and Consents Clause in Contracts

Best Efforts; Notices and Consents. Subject to the terms and conditions of this Agreement, from the date of this Agreement to the Closing, the Warrantors shall use their best efforts to take, or cause to be taken, all appropriate action, and do, or cause to be done, all things necessary, proper or advisable under applicable Law or otherwise to cause the conditions specified in Section 6 to be satisfied as soon as reasonably practicable and in any case no later than the Long Stop Date. Provided that the Company has satisfied all the conditions specified in Section 6 and subject to all other terms and conditions of this Agreement, the Investor shall perform its obligations to consummate the transactions contemplated under this Agreement.
