Common use of BEST EFFORTS OF EXECUTIVE Clause in Contracts

BEST EFFORTS OF EXECUTIVE. 2.01 Executive shall use his best energies and abilities in the performance of his duties, services and responsibilities for the Company. 2.02 During the term of his employment, Executive shall devote substantially all of his business time and attention to the business of the Company and its subsidiaries and affiliates and shall not engage in any substantial activity inconsistent with the foregoing, whether or not such activity shall be engaged in for pecuniary gain, unless approved by the Board; provided, however, that, to the extent such activities do not violate, or substantially interfere with his performance of his duties, services and responsibilities under this Agreement.

BEST EFFORTS OF EXECUTIVE. 2.01 In his capacity as Chief Financial Officer, Executive shall use his best energies efforts and abilities in the performance of his duties, services and responsibilities for the Company. 2.02 During the term of his employment, Executive shall devote substantially all of his business time and attention to the business of the Company and its subsidiaries and affiliates and shall not engage in any substantial activity inconsistent with the foregoing, whether or not such activity shall be engaged in for pecuniary gain, unless approved by the Board; provided, however, that, to the extent such activities do not violate, or substantially interfere with his performance of his duties, services and responsibilities under this Agreement, Executive may engage in such activities.

BEST EFFORTS OF EXECUTIVE. 2.01 Executive shall use his best energies and abilities in efforts to perform, to the performance best of his dutiesability, services faithfully and efficiently the responsibilities for that may be required by the express and implicit terms of this Agreement, to the reasonable satisfaction and sole discretion of the Company. 2.02 During . Such duties shall be provided at such place(s) as the term needs, business, or opportunities of his employment, the Company may require from time to time. Executive shall devote substantially all of his business time and attention to his obligations to the business Company pursuant to this Agreement, and shall not, without the prior written approval of the Company and its subsidiaries and affiliates and shall not engage in PTAC Board, render services of a business nature to any substantial activity inconsistent other person or entity, if such activities would materially interfere with the foregoing, whether or not such activity shall be engaged in for pecuniary gain, unless approved by the Board; provided, however, that, to the extent such activities do not violate, or substantially interfere with his performance of his duties, services and responsibilities Executive’s duties under this Agreement.
