A 'best endeavors' clause requires a party to take all reasonable steps within their power to achieve a specified objective. Best endeavors. Lenovo shall use its best endeavors to ensure its CO2 Offset Program and all carbon reduction projects supported by it are quality assured. The projects Lenovo supports currently comply with the Clean Development Mechanism. Lenovo reserves the right to change to an equivalent standard at its discretion. CO2 Offset supporting projects will be registered with a reputable CO2 Offset registry.
Best endeavors. Each party shall use its best endeavors to procure the -------------- fulfillment of the conditions precedent set out in sub-Clause (A) above, on or before the Completion Date and with respect to the conditions precedent in (ii) above, on or before the date specified therein, and in particular shall furnish such information, supply such documents as should be in their possession and do all such acts and things as may be required to enable such conditions to be fulfilled insofar as it is the responsibility or obligation of any such party so to do. PROVIDED that nothing herein contained shall prevent the Supplier from conducting further inventory audits, safety procedures and technical due diligence after the fulfillment of the condition set out in Clause 2(A)(iv) above.
Best endeavors. The Parties shall use their Best Endeavors to prepare and agree as soon as possible a business plan and annual budget which shall set forth the strategic objectives and the operating plan of the Joint Venture.
