Between the Group and the Insurance Company. The relationship between the Insurance Company and the Group is a contractual relationship between independent contractors. Neither party is a partner, joint venturer, agent or employee of the other when performing its obligations pursuant to this Agreement. The Insurance Company is not and shall not be deemed to be a fiduciary of the Group’s plan, except as necessary to exercise the discretionary authority granted to it by the Group in making authorization, eligibility and coverage determinations and construe the terms of Members’ Coverage pursuant to this Policy.
