Binding Affect and Assignment. This Agreement shall be binding upon, and shall inure to the benefit of, the Parties hereto, and their assigns or successors in interest. Provided, further that the rights and obligations of each Party under this Agreement shall not be assigned to any third-party without the prior, written consent of the other Party; provided, that, Quorum may assign any or all of its rights and obligations under this Agreement to an affiliate, or to a third-party in connection with a sale of substantially all of its assets to such third-party, without the prior consent (written or otherwise) of the Hospital. ADDENDUM 1 - BASE SERVICES This Addendum 1 is attached to and made a part of that certain Advisory Services Agreement, with an Effective Date of the 31st day of August, 2015.
