Common use of Binding Benefit Clause in Contracts

Binding Benefit. This Price Guarantee constitutes the entire understandings among the parties. All previous discussions, promises, representations and understandings among the parties relative to this Price Guarantee, if any, are superseded by this Price Guarantee. This Price Guarantee shall bind and benefit the parties and their respective successors and assigns, regardless of whether such successors and assigns agree to be bound by the Price Guarantee.
