BINDING EFFECT AND NON-ASSIGNMENT. This Agreement shall endure to the benefit of and be binding upon the parties hereto and their respective heirs, executors, administrators and successors, but shall not be capable of assignment by either party without the previous consent of the other party thereto.
BINDING EFFECT AND NON-ASSIGNMENT. This Agreement is for the benefit only of the parties hereto and shall inure to the benefit of and bind the parties and their respective heirs, legal representatives, successors and assigns. This Agreement may not be assigned by Permittee.
BINDING EFFECT AND NON-ASSIGNMENT. The Employee may not assign the --------------------------------- benefit of this Agreement or delegate the Employee's obligations under this Agreement. This Agreement is assignable by the Employer. Subject to the foregoing limitation on assignment and delegation by the Employee, this Agreement shall be binding upon and inure to the benefit of the Employer and Employee and their respective successors, assigns, heirs, legal representatives, executors, and administrators. The term "Employer" as used in this Agreement shall mean and include the party so named in the initial paragraph of this Agreement, the surviving entity of any merger, combination, consolidation or reorganization to which the Employer is a party, or the corporation or affiliate to which Employee may be transferred as described in paragraph 3 hereof.
BINDING EFFECT AND NON-ASSIGNMENT. This Agreement shall be binding upon and benefit the heirs, executors, administrators, successors, and assigns of each Party hereto. Each party executing this Agreement represents and warrants that it is duly authorized to execute the same. No party hereto shall assign, hypothecate, delegate or otherwise transfer or encumber all or any part of its rights, duties or other interests in this Agreement without prior written consent of all the Parties to this Agreement, which consent may be withheld in the Parties’ sole and absolute discretion. Any transfer without the consent herein required is void. However, nothing in the foregoing limits or obstructs the ability of any of the Parties to pledge or promise any tax proceeds as security for any obligation.
