Binding Effect; Enforceability. This Agreement has been duly executed and delivered by the Company, and this Agreement constitutes the legal, valid and binding obligations of the Company enforceable against the Company in accordance with its terms, except as enforceability may be limited by applicable bankruptcy, insolvency or other similar laws affecting the enforcement of creditors’ rights generally and by general principles of equity relating to enforceability.

Each Transaction Document has been duly executed and delivered by such Series F Investor (to the extent such Series F Investor is a party), constitutes valid and binding obligations of such Series F Investor, enforceable against it/him/her in accordance with the terms thereof, subject, as to enforcement of remedies, to applicable bankruptcy, insolvency, moratorium, reorganization and similar Laws affecting creditors’ rights generally and to general equitable principles.

This Agreement constitutes, and, upon its execution by the Purchaser, the Assignment and Assumption Agreement and the Bulk Assignment of Loans will constitute, the legal, valid and binding obligations of the Purchaser, enforceable against the Purchaser in accordance with their respective terms, except as such enforceability may be limited by judicial discretion, applicable bankruptcy, insolvency, reorganization, moratorium or other similar laws, now or hereafter in effect, relating to or affecting the enforcement of creditors' rights generally, or by principles of equity.
