Binding Effect; No Third Party Beneficiaries. This Agreement shall inure to the benefit of, be binding upon and be enforceable by and against the Company, the Equity Holders and the Purchaser and their respective heirs, representatives, successors and permitted assigns, and nothing herein expressed or implied shall be construed to give any other person or entity any legal or equitable rights hereunder.

This Agreement shall inure to the benefit of, be binding upon and be enforceable by and against the Company, the Equity Holders Seller and the Purchaser Buyer and their respective heirs, representatives, successors and permitted assigns, and nothing herein expressed or implied shall be construed to give any other person or entity any legal or equitable rights hereunder.

This Agreement shall be binding upon, and inure to the benefit of, be binding upon and be enforceable by and against the Company, the Equity Holders and the Purchaser parties hereto and their respective heirs, representatives, successors and permitted assigns. This Agreement is for the sole and exclusive benefit of the parties to this Agreement, Buyer’s Affiliates, Buyer’s customers, and nothing all of their respective successors and permitted assigns. Nothing contained herein expressed or implied shall be construed to give any person not a party to this Agreement (other person or entity than Buyer’s Affiliates and customers) any legal or equitable rights hereunderright, remedy, interest, or claim under or with respect to this Agreement.

This Agreement shall inure to the benefit of, be binding upon and be enforceable by and against the Company, the Equity Holders and the Purchaser Parties and their respective heirs, representatives, successors and permitted assigns, and and, except as expressly set forth in Section 10.2 of this Agreement, nothing herein expressed or implied shall be construed to give any other person or entity Person any legal or equitable rights hereunder.

Except as provided in Article VII of this Agreement with respect to the indemnification rights granted to Purchaser Indemnified Persons, nothing in this Agreement shall confer any rights upon any Person other than the parties to this Agreement and nothing herein expressed or implied shall be construed to give any other person or entity any legal or equitable rights hereundertheir successors and assigns.
