Common use of Binding Effect of Resolutions Clause in Contracts

Binding Effect of Resolutions. Every resolution and every extraordinary resolution passed in accordance with the provisions of this Article 6 at a meeting of Warrantholders shall be binding upon all the Warrantholders, whether present at or absent from such meeting, and every instrument in writing signed by Warrantholders in accordance with section 6.14 shall be binding upon all the Warrantholders, whether signatories thereto or not, and each and every Warrantholder and the Warrant Agent (subject to the provisions for indemnity herein contained) shall be bound to give effect accordingly to every such resolution and instrument in writing. In the case of an instrument in writing, the Warrant Agent shall give notice in the manner contemplated in sections 9.1 and 9.2 of the effect of the instrument in writing to all Warrantholders and the Company as soon as is reasonably practicable.

Every resolution and every extraordinary resolution Extraordinary Resolution passed in accordance with the provisions of this Article 6 IX at a meeting of Warrantholders shall be binding upon all the Warrantholders, whether present at or absent from such meeting, and every instrument in writing signed by Warrantholders in accordance with section 6.14 Section 9.14 shall be binding upon all the Warrantholders, whether signatories thereto or not, and each and every Warrantholder and the Warrant Agent (subject to the provisions for indemnity herein containedreceiving prior indemnification pursuant to subsection 11.1(2)) shall be bound to give effect accordingly to every such resolution and instrument in writing. In the case of an instrument in writing, writing the Warrant Agent shall give notice in the manner contemplated in sections 9.1 Section 3.6 and 9.2 Section 13.1 of the effect of the instrument in writing to all Warrantholders and the Company as soon as is reasonably practicable.

For greater certainty, a resolution or extraordinary resolution amending the terms of this Agreement or of a Global Warrant Certificate shall not be binding upon the Company unless the Company agrees in writing to such amendment.

In the case of an instrument in writing, the Warrant Agent shall give notice in the manner contemplated in sections 9.1 Section 10.1 and 9.2 Section 10.2 of the effect of the instrument in writing to all Registered Warrantholders and the Company Corporation as soon as is reasonably practicable.

In the case of an instrument in writing, writing the Warrant Agent shall give notice in the manner contemplated in sections 9.1 2.13 and 9.2 2.14 of the effect of the instrument in writing to all Warrantholders and the Company Corporation as soon as is reasonably practicable.

Every resolution and every extraordinary resolution Extraordinary Resolution passed in accordance with the provisions of this Article 6 16 at a meeting of Warrantholders Debentureholders shall be binding upon all the WarrantholdersDebentureholders, whether present at or absent from such meeting, and every instrument in writing signed by Warrantholders Debentureholders in accordance with section 6.14 Section 16.06 shall be binding upon all the WarrantholdersDebentureholders, whether signatories thereto or not, and each and every Warrantholder Debentureholder and the Warrant Agent Trustee (subject to the provisions for indemnity herein contained) shall be bound to give effect accordingly to every such resolution and instrument in writing. In the case of an instrument in writing, the Warrant Agent Trustee shall give notice of the instrument in writing in the manner contemplated in sections 9.1 Section 20.01 and 9.2 of the effect of the instrument in writing 20.03 to all Warrantholders and the Company and all Debentureholders, respectively, as soon as is reasonably practicable.

In the case of an instrument in writing, the Warrant Agent shall give notice in the manner contemplated in sections 9.1 Sections 5.1 and 9.2 12.1 of the effect of the instrument in writing to all Warrantholders and Warrantholders, the Company Corporation as soon as is reasonably practicable.

In the case of an instrument in writing, the Warrant Agent shall give notice in the manner contemplated in sections 9.1 Section 10.1 and 9.2 Section 10.2 of the effect of the instrument in writing to all Registered Warrantholders and the Company as soon as is reasonably practicable.

In the case of an instrument in writing, the Warrant Agent shall give notice in the manner contemplated in sections 9.1 and 9.2 of the effect of the instrument in writing to all Warrantholders Holders of such series and the Company Corporation as soon as is reasonably practicable.

Binding Effect of Resolutions. Every resolution and every extraordinary resolution passed in accordance with the provisions of this Article 6 at a meeting of Special Warrantholders shall be binding upon all the Special Warrantholders, whether present at or absent from such meeting, and every instrument in writing signed by Special Warrantholders in accordance with section Section 6.14 shall be binding upon all the Special Warrantholders, whether signatories thereto or not, and each and every Special Warrantholder and the Special Warrant Agent (subject to the provisions for funding and indemnity herein contained) shall be bound to give effect accordingly to every such resolution and instrument in writing. In the case of an instrument in writing, the Special Warrant Agent shall give notice in the manner contemplated in sections 9.1 Sections 10.1 and 9.2 10.2 of the effect of the instrument in writing to all Special Warrantholders and the Company Corporation as soon as is reasonably practicable.

In the case of an instrument in writing, the Warrant Agent Trustee shall give notice of the instrument in writing in the manner contemplated in sections 9.1 Sections 20.1 and 9.2 of 2.11 to the effect of the instrument in writing Corporation and to all Warrantholders and the Company Debentureholders, respectively, as soon as is reasonably practicable.

In the case of an instrument in writing, the Warrant Agent Trustee shall give notice in the manner contemplated in sections 9.1 Sections 10.01 and 9.2 10.02 of the effect of the instrument in writing to all Warrantholders and the Company Corporation as soon as is reasonably practicable.

In the case of an instrument in writing, the Company shall cause the Warrant Agent shall to give notice in the manner contemplated in sections 9.1 and 9.2 of the effect of the instrument in writing to all Warrantholders and the Company as soon as is reasonably practicable.
