Common use of Book-Entry Only System Clause in Contracts

Book-Entry Only System. If the Series 2 Senior Preferred Shares are held through the book-entry only system of the Canadian Depository for Securities (“CDS”), then the beneficial owner thereof shall provide instructions only by such beneficial owner providing instructions to the CDS Participant through whom such beneficial owner holds such Series 2 Senior Preferred Shares. Beneficial owners of Series 2 Senior Preferred Shares will not have the right to receive share certificates representing their ownership of the shares.

If the Series 2 4 Senior Preferred Shares are held through the book-entry only system of the Canadian Depository for Securities (“CDS”), then the beneficial owner thereof shall provide instructions only by such beneficial owner providing instructions to the CDS Participant through whom such beneficial owner holds such Series 2 4 Senior Preferred Shares. Beneficial owners of Series 2 4 Senior Preferred Shares will not have the right to receive share certificates representing their ownership of the shares.. Schedule B - Amendments to Articles of BPO
