Common use of Book-Entry Provisions for Global Warrants Clause in Contracts

Book-Entry Provisions for Global Warrants. (a) The ----------------------------------------- Global Warrants, if issued, initially shall (i) be registered in the name of the Depository or the nominee of such Depository, (ii) be delivered to the Warrant Agent as custodian for such Depository and (iii) bear legends as set forth in Exhibit B. --------- Members of, or participants in, the Depository ("Participants") shall ------------ have no rights under this Warrant Agreement with respect to any Global Warrant held on their behalf by the Depository, or the Warrant Agent as its custodian, or under the Global Warrant, and the Depository may be treated by the Partnership, the Warrant Agent and any agent of the Partnership or the Warrant Agent as the absolute owner of the Global Warrant for all purposes whatsoever. Notwithstanding the foregoing, nothing herein shall prevent the Partnership, the Warrant Agent or any agent of the Partnership or the Warrant Agent from giving effect to any written certification, proxy or other authorization furnished by the Depository or impair, as between the Depository and Participants, the operation of customary practices governing the exercise of the rights of a beneficial owner in a Global Warrant.

Agent Members of, or participants in, the Depository ("Participants") shall ------------ have no rights under this Warrant Agreement with respect to any Global Warrant held on their behalf by the Depository, Depository or by the Warrant Agent as its custodian, the custodian of the Depository or under the such Global Warrant, and the Depository may be treated by the PartnershipCompany, the Warrant Agent and any agent of the Partnership Company or the Warrant Agent shall be entitled to treat the Depository as the absolute owner of the such Global Warrant for all purposes whatsoever. Notwithstanding the foregoing, nothing herein shall prevent the PartnershipCompany, the Warrant Agent or any agent of the Partnership Company or the Warrant Agent from giving effect to any written certification, proxy or other authorization furnished by the Depository or impair, as between the Depository and Participantsits Agent Members, the operation of customary practices of such Depository governing the exercise of the rights of a holder of a beneficial owner interest in any Global Warrant. Except as provided in Section 2.7(h), owners of beneficial interests in Global Warrants will not be entitled to receive physical delivery of Definitive Warrants. Subject to the provisions of Section 2.7(h)(ii) hereof, the registered Holder of a Global Warrants shall be entitled to grant proxies and otherwise authorize any Person, including Agent Members and Persons that may hold interests through Agent Members, to take any action which a Holder is entitled to take under this Agreement or the Warrants, and the Warrant Agent is entitled to rely upon any electronic instructions from beneficial owners to the Holder of any Global Warrant.
