(cd) The Sub-Adviser shall make all filings with the SEC required of it pursuant to Section 13 of the 1934 Act with respect to its duties as are set forth herein. The Sub-Adviser also shall make all required filings on Schedule Forms 13D or and 13G and Form 13F (as well as other filings triggered by ownership in securities under other applicable laws, rules and regulations) in respect of the Portfolio as may be required of the Fund Funds due to the activities of the Sub-Adviser. The Sub-Adviser shall be coordinate with the sole filer of Form 13F Trust as appropriate with respect to the Portfolio making of the Fundsuch filings.

The Sub-Adviser also shall make all required filings on Schedule 13D or 13G and Form 13F (as well as other filings triggered by ownership in securities under other applicable laws, rules and regulations) in respect of the Portfolio as may be required of the Fund Funds due to the activities of the Sub-Adviser. The Sub-Adviser shall be file the sole filer of Form 13F with respect to securities held in the Portfolio of the FundFunds, as applicable.

The Sub-Adviser Subadviser further agrees that all records that it maintains for the Fund are the property of the Fund and it will promptly surrender any of such records upon request; provided, however, that the Sub-Adviser Subadviser may retain copies of such records for the applicable periods they are required by law to be retained, and thereafter shall destroy such records.

The Sub-Adviser Subadvisor also shall make all required filings on Schedule 13D or 13G and Form 13F (as well as other filings triggered by ownership in securities and other investments under other applicable laws, rules and regulations) in respect of the Portfolio as may be required of the Fund due to the activities of the Sub-AdviserSubadvisor. The Sub-Adviser Subadvisor shall be the sole filer of Form 13F with respect to the Portfolio of Subadvised Assets. The Subadvisor shall include positions in the Fund.Subadvised Assets on the Subadvisor’s 13G or 13D reports. The Sub-Adviser also shall make all required filings on Schedule 13D or 13G and Form 13F (as well as other filings triggered by ownership in securities under other applicable laws, rules and regulations) in respect of the Portfolio Funds as may be required of the Fund Funds due to the activities of the Sub-Adviser. The Sub-Adviser shall be the sole filer of Form 13F with respect to each Fund. The Sub-Adviser shall not be responsible for the Portfolio preparation or filing of any other reports required on behalf of the FundFunds, except as may be expressly agreed to in writing.
(d) The Adviser will furnish the Sub-Adviser with copies of all amendments and supplements to the Funds’ prospectus disclosure within a reasonable time, but not less than ten business days before they become effective.

(cd) The To the extent not completed by the Adviser, the Sub-Adviser shall make all filings with the SEC required of it pursuant to Section 13 of the 1934 Act with respect to its duties as are set forth herein. The Sub-Adviser also shall make all required filings on Schedule Forms 13D or and 13G and Form 13F (as well as other filings triggered by ownership in securities under other applicable laws, rules and regulations) in respect of the Portfolio as may be required of the Fund Funds due to the activities of the Sub-Adviser. The Sub-Adviser shall be coordinate with the sole filer of Form 13F Adviser and the Trust as appropriate with respect to the Portfolio making of the Fundsuch filings.

If the Portfolio holds a portfolio security for which a Schedule 13D or 13G is required based on the ownership level, the Sub-Adviser will include the Portfolio on its Schedule 13D or 13G. The Adviser shall determine that the Sub-Adviser's filing of Schedule 13D or 13G satisfies the Adviser's reporting obligations under the federal securities laws.
