Common use of Branch Business Clause in Contracts

Branch Business. The business at the Branches has been conducted in material compliance with Seller’s policies and procedures and all Legal Requirements. Except as set forth on Schedule 9(h) of the Seller Disclosure Schedule, there are no Legal Proceedings or Orders entered or pending or, to the Knowledge of Seller, threatened against or affecting the Assets, Liabilities, or the business of Seller as it relates to or is conducted at the Branches.
