Brand and Trademark Rights. Licensee agrees that, any use of the Licensed Marks by Licensee shall only be used in connection with the Licensed Materials and shall be subject in all respects to the terms and conditions set forth on the attached Exhibit B (the “Brand and Trademark License”). Licensee acknowledges that, except for the limited rights set forth in the Brand and Trademark License, it will acquire no rights in the Licensed Marks pursuant to this Agreement as such marks are and shall remain the exclusive property of Licensor or their respective owners. Except as set forth in the Brand and Trademark License, nothing contained in this Agreement shall be construed as conferring any right to use the Licensed Marks in Licensee’s advertising, publicity or other promotional activities without Licensor’s express written approval.

  • Copyrights and Trademarks The Client represents to Developer and unconditionally guarantees that any elements of text, graphics, photos, designs, trademarks, or other artwork furnished to Developer for inclusion in web pages are owned by the Client, or that the Client has permission from the rightful owner to use each of these elements, and will hold harmless, protect, and defend Developer and its subcontractors from any claim or suit arising from the use of such elements furnished by the Client.

  • COPYRIGHT AND TRADEMARKS i. All title, trademarks and copyrights in and pertaining to the SOFTWARE PRODUCT (including but not limited to any images, photographs, animation, video, audio, Music, text, and applets incorporated into the SOFTWARE PRODUCT), the accompanying, printed materials and any copies of the SOFTWARE PRODUCT are owned by Neumetrix Limited or its affiliated companies or suppliers.   • Patents and Copyrights (a) Seller agrees to defend, indemnify and to save TI, its officers, agents, employees, and vendees (mediate and immediate) harmless, at Seller’s expense, from and against any and all Claims (as defined in Section 8(a)), either at law or in equity, that the purchase, use, or sale of goods and/or Work Product required by this Purchase Order violates any license agreement or constitutes an infringement or misappropriation of any Intellectual Property, trademark, service mark or other intellectual property right of any third party. Seller shall not be obligated to defend or be liable for costs and losses to the extent the claim of infringement or alleged infringement is solely due to and would not have occurred but for (a) Seller’s compliance with designs for such goods originally furnished by TI to Seller or (b) a modification by TI of Seller’s goods that was not authorized by Seller.
