Breach of Representation. Should either Party breach the representation and warranty of tax status set forth in this Article, the breaching Party agrees to indemnify and hold the non-breaching Party, its directors, officers, employees, agents, and shareholders harmless from all liability, loss, damages, fines, penalties, interest, and reasonable attorney's fees, which the non-breaching Party, its directors, officers, employees, agents, and shareholders may sustain by reason of such breach.
