Common use of BREACH SANCTIONS Clause in Contracts

BREACH SANCTIONS. 11 Failure by CONTRACTOR to comply with any of the provisions, covenants, 12 or conditions of this Agreement shall be a material breach of this Agreement. 13 In such event ADMINISTRATOR may, in its sole discretion, and in addition to 14 immediate termination and any other remedies available at law, in equity, or 15 otherwise specified in this Agreement: 16 18.1 Afford CONTRACTOR a time period within which to cure the breach, 17 which period shall be established at the sole discretion of ADMINISTRATOR; 18 and/or 19 18.2 Discontinue reimbursement to CONTRACTOR for and during the period 20 in which CONTRACTOR is in breach, which reimbursement shall not be entitled to 21 later recovery; and/or 22 18.3 Offset against any monies billed by CONTRACTOR but yet unpaid by 23 COUNTY those monies disallowed pursuant to Subparagraph 18.2 above. 24 ADMINISTRATOR will give CONTRACTOR written notice of any action pursuant 25 to this Paragraph, which notice shall be deemed served on the date of mailing.
