Common use of Breaches with Third Parties Clause in Contracts

Breaches with Third Parties. Nothing in this Agreement shall constitute an agreement to assign or the assignment of any material claim, contract, license, lease, commitment, sales order or purchase order or any material claim or right or any benefit arising thereunder or resulting therefrom if an assignment or an attempted assignment thereof, without the consent of a third party thereto, would constitute a breach thereof or materially affect the rights of Purchaser or Seller thereunder; and any transfer or assignment to the Purchaser or Seller of any material property or property rights or any contract or agreement which shall require the consent or approval of any third party, shall be made subject to such consent or approval being obtained.
