Common use of Bring-Along Notice Clause in Contracts

Bring-Along Notice. If the Sellers elect to exercise their Bring-Along Right under this Section, then such Sellers will notify the Company and the Other Stockholders in writing (“Bring-Along Notice”). Each Bring-Along Notice will set forth (i) the name of the Third Party to which the Sellers propose to transfer Shares and the number of Shares proposed to be transferred, (ii) the address of the Third Party, (iii) the proposed amount and form of consideration and terms of payment offered by the Third Party, and any other material terms pertaining to the Transfer (“Third Party Terms”), and (iv) that the Third Party has been informed of the rights provided for in this Section and has agreed to purchase Shares in accordance with the terms of this Agreement. The Bring-Along Notice will be given at least 30 days before settlement of the proposed Transfer.
