Common use of Bring-Down Letters Clause in Contracts

Bring-Down Letters. On the Closing Date, the Placement Agent shall have received from DKM Certified Public Accountants, Inc. a letter (the “Bring-Down Letter”), dated the Closing Date, addressed to the Placement Agent and in form and substance reasonably satisfactory to the Placement Agent and their counsel, (i) confirming that they are or were, as applicable, independent public accountants with respect to the Company within the meaning of the Securities Act and the Rules and Regulations, and (ii) confirming in all material respects the conclusions and findings set forth in the Comfort Letter.

Bring-Down Letters. On the Closing Date, the Placement Agent Agents shall have received from DKM Certified Public AccountantsBDO USA, Inc. LLP a letter (the “Bring-Down Letter”), dated the Closing Date, addressed to the Placement Agent Agents and in form and substance reasonably satisfactory to the Placement Agent Agents and their counsel, (i) confirming that they are or were, as applicable, independent public accountants with respect to the Company within the meaning of the Securities Act and the Rules and Regulations, and (ii) confirming in all material respects the conclusions and findings set forth in the Comfort Letter.

LLP and Xxxxxx LLC a letter (the “Bring-Down Letter”), dated the Closing Date, addressed to the Placement Agent and in form and substance reasonably satisfactory to the Placement Agent and their counsel, (i) confirming that they are or were, as applicable, independent public accountants with respect to the Company within the meaning of the Securities Act and the Rules and Regulations, and (ii) confirming in all material respects the conclusions and findings set forth in the Comfort Letter.

Xxxxxxx XxXxxxxxxx LLC a letter (the “Bring-Down Letter”), dated the Closing Date, addressed to the Placement Agent Agents and in form and substance reasonably satisfactory to the Placement Agent Agents and their counsel, (i) confirming that they are or were, as applicable, independent public accountants with respect to the Company within the meaning of the Securities Act and the Rules and Regulations, and (ii) confirming in all material respects the conclusions and findings set forth in the Comfort Letter.

PricewaterhouseCoopers LLC a letter (the “Bring-Down Letter”), dated the Closing Date, addressed to the Placement Agent Agents and in form and substance reasonably satisfactory to the Placement Agent Agents and their counsel, (i) confirming that they are or were, as applicable, independent public accountants with respect to the Company within the meaning of the Securities Act and the Rules and Regulations, and (ii) confirming in all material respects the conclusions and findings set forth in the Comfort Letter.
