Common use of Brokerage Claims Clause in Contracts

Brokerage Claims. Borrower shall, and shall cause the Guarantor, to protect, defend, indemnify and hold Lender harmless from and against all loss, cost, liability and expense incurred as a result of any claim for a broker's or finder's fee against Lender or any person or entity in connection with the transaction herein contemplated, provided such claim is made by or arises through or under Borrower or the Guarantor or is based in whole or in part upon alleged acts or omissions of Borrower or the Guarantor. Lender shall protect, defend, indemnify and hold Borrower harmless from and against all loss, cost, liability and expense incurred as a result of any claim for a broker's or finder's fee against Borrower provided such claim is based upon alleged acts or omissions of Lender.
