Brokerage Claims. Borrower shall protect, defend, indemnify and hold Lender harmless from and against all loss, cost, liability and expense incurred as a result of any claim for a broker’s or finder’s fee against Lender or any Person, in connection with the transaction herein contemplated, provided such claim is made by or arises through or under Borrower or is based in whole or in part upon alleged acts or omissions of Borrower. Lender shall protect, defend, indemnify and hold Borrower harmless from and against all loss, cost, liability and expense incurred as a result of any claim for a broker’s or finder’s fee against Borrower or any other Person in connection with the transaction herein contemplated, provided such claim is made by or arises through or under Lender or is based in whole or in part upon alleged acts or omissions of Lender.
Brokerage Claims. Borrower shall, and shall cause the Guarantor, to protect, defend, indemnify and hold Lender harmless from and against all loss, cost, liability and expense incurred as a result of any claim for a broker's or finder's fee against Lender or any person or entity in connection with the transaction herein contemplated, provided such claim is made by or arises through or under Borrower or the Guarantor or is based in whole or in part upon alleged acts or omissions of Borrower or the Guarantor. Lender shall protect, defend, indemnify and hold Borrower harmless from and against all loss, cost, liability and expense incurred as a result of any claim for a broker's or finder's fee against Borrower provided such claim is based upon alleged acts or omissions of Lender.

Brokerage Claims. Except for The Finance Group, Inc., doing business as HomeSmart PV & Associates (DRE # 1400749), and its Agent Xxxxxx Xxxx (DRE #02089222), whose fees and compensation Seller will pay, both Purchaser and Seller warrant to each other that no real estate agents or brokers have been involved in negotiating this transaction. In the event any claims arise for real estate commissions, fees, or compensation in connection with this transaction, due to the acts or omission to act by a party hereto, either Seller or Purchaser, as the case may be, will indemnify and hold the other harmless from any loss, cost, damage, or expense, including, without limitation, attorney's fees and costs of litigation, that the other suffers because of the claim.

Brokerage Claims. Tenant and Landlord hereby warrant and represent to the other that Tenant or Landlord, as the case may be, has not dealt with any broker, agent or finder in connection with this Agreement other than Larkin, Schmidt, Weidenbaum Commercial Real Estate. Both Landlord and Tenant covenant and agree to hold each other harmless from and against any and all loss, liability, damage, claim, judgment, cost or expense (including but not limited to attorneys' fees and expenses and court costs) that may be incurred or suffered by the other party because of any claim for any fee, commission or similar compensation with respect to this Agreement, made by any other broker, agent or finder claiming to have dealt with such party, whether or not such claim is meritorious. Landlord agrees to pay Larkin, Schmidt, Weidenbaum Commercial Real Estate pursuant to a separate agreement.

Both Landlord and Tenant covenant and agree to hold each other harmless from and against any and all loss, liability, damage, claim, judgment, cost or expense (including but not limited to attorneys' fees and expenses and court costs) that may be incurred or suffered by the other party because of any claim for any fee, commission or similar compensation with respect to this Agreement, made by any other broker, agent or finder claiming to have dealt with such party, whether or not such claim is meritorious. Landlord agrees to pay Cushxxx & Xakefield of Florida, Inc. pursuant to a separate agreement.
Brokerage Claims. Landlord and Tenant each covenant to indemnify and hold the other harmless from and against any and all cost, expense or liability for any compensation, commission or charge claimed by any broker or agent claiming by or through such party with respect to this Lease or the negotiation thereof. The parties acknowledge that Landlord is represented by Trinity Partners and Tenant is represented by Xxxxxxx & Company in the negotiations and intended consummation of this Lease agreement Landlord shall pay commissions to Trinity Partners and Trinity Partners shall pay commissions to Xxxxxx & Company in accordance with separate written agreements.
