Common use of Brokers and Financial Advisers Clause in Contracts

Brokers and Financial Advisers. All negotiations with respect to this Agreement and the transactions contemplated hereby have been carried out by the FK Stockholders directly with the Company, the Company Stockholders and the HT Equityholders, without the intervention of any person on behalf of the FK Stockholders in such manner as to give rise to any valid claim by any person for a finder's fee, brokerage commission or similar payment.
