No Seller, nor any of their respective officers, directors, employees or Affiliates acting on behalf of such Seller has employed or made any agreement, contract, arrangement or understanding with any broker, finder, financial adviser, investment banker or similar agent or any Person, that will result in the obligation of the Company, any of its Subsidiaries, Parent or Acquirer or any of their respective Affiliates to pay a brokerage, finder’s or other fee or commission in connection with the origin, negotiation or execution of this Agreement or in connection with the Transactions.
