Common use of Brokers, Etc Clause in Contracts

Brokers, Etc. No broker or investment banker acting on behalf of Seller or under the authority of Seller is or will be entitled to any broker’s or finder’s fee or any other commission or similar fee directly or indirectly from Seller or Buyer in connection with any of the transactions contemplated herein, other than any fee that is the sole responsibility of Seller.

No broker or investment banker acting on behalf of Seller Buyer or under the authority of Seller Buyer is or will be entitled to any broker’s or finder’s fee or any other commission or similar fee directly or indirectly from Seller or Buyer in connection with any of the transactions contemplated herein, other than any fee that is the sole responsibility of SellerBuyer. All underwriting discounts and fees incident to the IPO will be paid by Buyer.
