Brokers' Fees and Other Fees and Expenses. Except for the letter agreement dated August 20, 2004 with Kevin Kean and the definitive consulting agreement to be nxxxxxxxxx and executed as contemplated thereunder, neither Lakes nor any of its Affiliates has as of the Effective Date of this Agreement engaged, nor has any liability or obligation to pay any fees, commissions or expenses with respect to, any broker, finder or agent, investment banker, or any similar advisor or services provider, with respect to or in connection with the transactions contemplated by this Agreement for which Lakes or its Affiliates could become liable or obligated, and neither Pawnee nor any of its Affiliates has any liability or obligation to pay any of such amounts.
