Common use of Brokers; Financial Advisors Clause in Contracts

Brokers; Financial Advisors. No agent, broker, investment banker, finder, financial advisor or other Person is or will be entitled to any broker’s or finder’s fee or any other commission or similar fee from the Company, directly or indirectly, in connection with the transactions contemplated by this Agreement and the other Transaction Documents, and no Person is entitled to any fee or commission or like payment from the Company in respect thereof based in any way on agreements, arrangements or understandings made by or on the Company’s behalf.

Brokers; Financial Advisors. No agent, broker, investment banker, finder, financial advisor or other Person is or will be entitled to any broker’s, finder’s, financial advisor’s or finder’s other similar based fee or any other commission commission, or similar fee from the Company, directly or indirectlyreimbursement of expenses in connection therewith, in connection with any the transactions contemplated Transactions (including the Merger) as a result of being engaged by this Agreement Parent, Merger Sub or any of their respective Subsidiaries or Affiliates, except for Persons whose fees and the other Transaction Documents, and no Person is entitled to any fee expenses will be paid by Parent or commission or like payment from the Company in respect thereof based in any way on agreements, arrangements or understandings made by or on the Company’s behalfan Affiliate thereof.

No agent, broker, investment banker, finder, financial advisor or other Person is or will be entitled to any broker’s or finder’s fee or any other commission or similar fee from the Company, directly or indirectly, in connection with the transactions contemplated by this Agreement and the other Transaction DocumentsDocuments to which it is party, and no Person is entitled to any fee or commission or like payment from the Company in respect thereof based in any way on agreements, arrangements or understandings made by or on the Company’s behalf.

No agent, broker, investment banker, finder, financial advisor or other Person is or will be entitled to any broker’s or finder’s fee or any other commission or similar fee from the CompanyPurchaser, directly or indirectly, in connection with the transactions contemplated by this Agreement and the other Transaction DocumentsDocuments to which it is a party, and no Person is entitled to any fee or commission or like payment from the Company Purchaser in respect thereof based in any way on agreements, arrangements or understandings made by or on the CompanyPurchaser’s behalf.

Brokers; Financial Advisors. No Other than with respect to fairness opinions, no agent, broker, investment banker, finder, financial advisor or other Person is or will be entitled to any broker’s or finder’s fee or any other commission or similar fee from the Company, directly or indirectly, in connection with the transactions contemplated by this Agreement and the other Transaction Documents, and and, other than with respect to fairness opinions, no Person is entitled to any fee or commission or like payment from the Company in respect thereof based in any way on agreements, arrangements or understandings made by or on the Company’s behalf.

Brokers; Financial Advisors. No agent, broker, investment banker, finder, financial advisor or other Person is or will be entitled to any broker’s or finder’s fee or any other commission or similar fee from the CompanyCompany or its Subsidiaries, directly or indirectly, in connection with the transactions contemplated by this Agreement and the other Transaction Documents, and no Person is entitled to any fee or commission or like payment from the Company or its Subsidiaries in respect thereof based in any way on agreements, arrangements or understandings made by or on behalf of the Company’s behalfCompany or any Subsidiary.

Brokers; Financial Advisors. No agent, broker, investment banker, finder, financial advisor or other Person investment banker is or will be entitled to any brokerbrokerage, finder’s or finder’s other fee or any other commission or similar fee from the Company, directly or indirectly, in connection with the transactions contemplated by this Agreement and the Transactions or any other Transaction Documents, and no Person is entitled to any fee or commission or like payment from the Company in respect thereof based in any way on agreements, arrangements or understandings made by or on the Company’s behalfDocument.

Brokers; Financial Advisors. No agent, broker, investment banker, finder, financial advisor or other Person is or Person, other than Xxxxxx Xxxxxxx LLC (the “Financial Advisor”), the fees and expenses of which will be paid by the Company, is entitled to any broker’s, finder’s, financial advisor’s or finder’s other similar based fee or any other commission commission, or similar fee from the Company, directly or indirectlyreimbursement of expenses in connection therewith, in connection with any of the transactions contemplated Transactions as a result of being engaged by this Agreement and the other Transaction Documents, and no Person is entitled to any fee or commission or like payment from the Company in respect thereof based in or any way on agreements, arrangements Subsidiary or understandings made by or on Affiliate of the Company’s behalf.

Brokers; Financial Advisors. No agent, broker, investment banker, finder, financial advisor or other Person is or will be entitled to any broker’s, finder’s, financial advisor’s or finder’s other similar based fee or any other commission or similar fee from the Company, directly or indirectly, in connection with any of the transactions contemplated Transactions (including the Merger) as a result of being engaged by this Agreement Xxxxxx, Merger Sub or any of their respective Subsidiaries or Affiliates, except for Persons whose fees and the other Transaction Documents, and no Person is entitled to any fee expenses will be paid by Parent or commission or like payment from the Company in respect thereof based in any way on agreements, arrangements or understandings made by or on the Company’s behalfan Affiliate thereof.

No agent, broker, investment banker, finder, financial advisor or other Person person or entity is or will be entitled to any broker’s or finder’s fee or any other commission or similar fee from the Company, directly or indirectly, in connection with the transactions contemplated by this Agreement and the other Transaction Documents, and no Person is entitled to any fee or commission or like payment from the Company in respect thereof based in any way on agreements, arrangements or understandings made by or on the Company’s behalfAgreement.

No agent, broker, investment banker, finder, financial advisor or other Person is or will be entitled to any broker’s, finder’s, financial advisor’s or finder’s other similar based fee or any other commission or similar fee from the Company, directly or indirectly, in connection with the transactions contemplated Transactions as a result of being engaged by this Agreement and the other Transaction Documents, and no Person is entitled to Parent or Seller or any fee Subsidiary or commission or like payment from the Company in respect thereof based in any way on agreements, arrangements or understandings made by or on the Company’s behalfAffiliate of Parent.

Brokers; Financial Advisors. No agent, broker, investment banker, finder, financial advisor or other Person investment banker is or will be entitled to any brokerbrokerage, finder’s or finder’s other fee or any other commission or similar fee from the Company, directly or indirectly, in connection with the transactions contemplated by this Agreement and the Transactions or any other Transaction Documents, and no Person is entitled to any fee or commission or like payment from the Company in respect thereof Document based in any way on agreements, upon arrangements or understandings made by or on behalf of Buyer, the Company’s behalfBuyer Board or the Special Committee.

No agent, broker, investment banker, finder, financial advisor or other Person is or will be entitled to any broker’s or finder’s fee or any other commission or similar fee from the Company, directly or indirectly, in connection with the transactions contemplated by this Agreement and or the other Transaction Documents, and no Person is entitled to any fee or commission or like payment from the Company in respect thereof based in any way on agreements, arrangements or understandings made by or on the Company’s behalf.
