Common use of Brokers; Financial Advisors Clause in Contracts

Brokers; Financial Advisors. All negotiations relative to this Agreement and the Transaction contemplated hereby have been carried on directly with the Shareholder and Seller. The Purchaser has not engaged, consented to, or authorized any broker, finder, investment banker or any other third party to act on its behalf, directly or indirectly, as a broker or finder in connection with this Agreement and the Transaction, and the Purchaser agrees to indemnify the Shareholder and the Seller against, and to hold the Shareholder and the Seller harmless from any claim for brokerage or similar commission or other compensation which may be made against the Shareholder or the Seller by any third party in connection with any of the transactions contemplated hereby which claim is based upon any action by the Purchaser.

The Purchaser has not engaged, consented to, or authorized any broker, finder, investment banker or any other third party to act on its behalf, directly or indirectly, as a broker or finder in connection with this Agreement and the Transaction, and the Purchaser agrees to indemnify the Shareholder Shareholders and the Seller against, and to hold the Shareholder Shareholders and the Seller harmless from any claim for brokerage or similar commission or other compensation which may be made against the Shareholder Shareholders or the Seller by any third party in connection with any of the transactions contemplated hereby which claim is based upon any action by the Purchaser.
