Common use of Brokers; Financial Advisors Clause in Contracts

Brokers; Financial Advisors. Other than with respect to fairness opinions, no agent, broker, investment banker, finder, financial advisor or other Person is or will be entitled to any broker’s or finder’s fee or any other commission or similar fee from the Company, directly or indirectly, in connection with the transactions contemplated by this Agreement and the other Transaction Documents, and, other than with respect to fairness opinions, no Person is entitled to any fee or commission or like payment from the Company in respect thereof based in any way on agreements, arrangements or understandings made by or on the Company’s behalf.
