BROKERS; FINDERS' FEES; COMMISSIONS. Each party hereto ----------------------------------- represents and warrants to the other that no broker or finder has acted on its behalf in connection with this Agreement or the transactions contemplated hereby. Notwithstanding the preceding sentence, Vail Banks has entered into an agreement with The Xxxxxxx Company pursuant to which Vail Banks will pay to The Xxxxxxx Company a percentage fee based upon the value of assets purchased by Vail Banks pursuant to this Agreement. Each party agrees to indemnify the other and hold and save the other harmless from any claim or demand for commissions or other compensation by any broker, finder or similar agent (other than The Xxxxxxx Company) claiming to have been employed by or on behalf of such party.
