Compensation Structure. Section 5.5.1 of the Company Disclosure Memorandum contains a true and complete list of the names, titles, responsibilities and compensation arrangements of each person whose earned compensation (including without limitation all salary, wages, bonuses and fringe benefits, other than those fringe benefits made available to all employees on a non-discriminatory basis), regardless of whether actually payable in such year, from the Company and United Valley Bank for the current fiscal year will equal or exceed $25,000. Section 5.5.1 of the Company Disclosure Memorandum contains copies of all material written agreements, correspondence (other than outstanding offers of employment to prospective employees whose compensation levels will not exceed $25,000 in cash), memoranda and other written materials currently in effect which have been provided to such employees relating to their compensation.
Compensation Structure. Salary level for the class of Guide shall be governed by the TC and TE rates. Subsequent adjustment of such schedule shall be governed by the provisions of Article 20 of the NP-2 Agreement. Upon completion of 1,958 hours of work employees will be eligible for a step increase. Determination of step placement shall be determined by the employer with consideration being given to individual performance and agency funding levels.
Compensation Structure. Compensation of Consultant shall be based upon the following:
(i) Each invoice will include a detailed break down of all services rendered.
(ii) Invoices sent to PC shall be due upon receipt.
(iii) PC will be invoiced monthly for service rendered. The retainer paid upon the execution of this agreement shall be credited against the first invoice billed to PC.

Section 6.5.1 of the Vail Banks Disclosure Memorandum contains copies of all written agreements, correspondence (other than outstanding offers of employment to prospective employees whose compensation levels will not exceed $25,000 in cash), memoranda and other written materials currently in effect which have been provided to such employees relating to their compensation.
Compensation Structure. Maximum Compensation – Retainer Fee Compensation of RMD shall be based upon a total maximum fee of five hundred dollars ($500.00) due and payable as outlined above.

Compensation Structure. (a) Because SMART train service will be new to the area without a history of of patronage, SMART will provide the concession space rent-free to the Concessionaire for a period of twelve (12) months. The Concessionaire and SMART shall negotiate compensation beyond the (12) month free period.
(b) During the twelve-month rent-free period, Concessionaire will still be required to submit a Quarterly Statement of Revenue and Expenses.
(c) Sales of all food and beverages by the Concessionaire must be recorded at the time of sale in the presence of the customer on a cash register or other device with the ability to provide a receipt to the customer either on paper or via email. Such register must maintain a tape or digital record of each transaction in a way that will provide a detailed audit trail and daily totals and not be subject to tampering. Further, the register must be made reasonably available to SMART for inspection of audit functions.
Compensation Structure. (a) Services Fee: $130 per hourly rate paid in $U.S. dollars by the Company to the Consultant for the entire term of this Agreement.
