Common use of Brokers, Finders Clause in Contracts

Brokers, Finders. Except as might be provided in the Disclosure Schedule, no finder, broker, agent, or other intermediary, acting on behalf of Sellers or the Company, is entitled to a commission, fee, or other compensation or obligation in connection with the negotiation or consummation of this Agreement or any of the transactions contemplated hereby.

Brokers, Finders. Except as might be provided in the Disclosure Scheduleset forth on Schedule 2.24, no finder, broker, agent, or other intermediary, acting on behalf of Sellers or the Company, is entitled to a commission, fee, or other compensation or obligation in connection with the negotiation or consummation of this Agreement or any of the transactions contemplated hereby.

Brokers, Finders. Except as might be provided in the Disclosure Scheduleset forth on Schedule 3.35, no finder, broker, agent, or other intermediary, acting on behalf of Sellers the Company or the CompanySellers, is entitled to a commission, fee, or other compensation or obligation in connection with the negotiation or consummation of this Agreement or any of the transactions contemplated hereby. Sellers, and not the Company, will pay all commissions, fees and other compensation due to the persons described on Schedule 3.35.

Except as might be provided set forth in Section 5.9 of the Seller Disclosure Schedule, no finderagent, broker, agentinvestment banker, or other intermediary, person acting on behalf of Sellers Seller, or the Company, under its authority is or will be entitled to a commission, any broker’s or finder’s fee or any other commission or similar fee, directly or other compensation or obligation indirectly, in connection with the negotiation or consummation of this Agreement or any of the transactions contemplated herebyby this Agreement.

Except as might be provided set forth in the Disclosure ScheduleSchedule 3.5, no finder, broker, agent, or other intermediary, acting on behalf of Sellers Parent or the CompanyAcquisition Subsidiary, is entitled to a commission, fee, or other compensation or obligation in connection with the negotiation or consummation of this Agreement or any of the transactions contemplated hereby.

Except as might be provided set forth in Section 3.34 of the Disclosure ScheduleLetter, no finder, broker, agent, agent or other intermediary, acting on behalf of Sellers Seller or the CompanyXxxxxxx, is entitled to a commission, fee, fee or other compensation or obligation in connection with the negotiation or consummation of this Agreement or any of the transactions contemplated hereby.

Except as might be provided in the Disclosure Scheduleset forth on Schedule 4.3, no finder, broker, agent, or other intermediary, intermediary acting on behalf of Sellers or the Company, Buyer is entitled to a commission, fee, or other compensation or obligation in connection with the negotiation or consummation of this Agreement or any of the transactions contemplated hereby.

Except as might be provided in the Disclosure Scheduleset forth on Schedule 4.4, no finder, broker, agent, agent or other intermediary, acting on behalf of Sellers or the CompanyBuyer, is entitled to a commission, fee, fee or other compensation or obligation in connection with the negotiation or consummation of this Agreement or any of the transactions contemplated hereby. Buyer will be solely responsible for payment of any commission, fee or other compensation earned by any such finder, broker, agent or other intermediary of Buyer.
