Building Permits; Other Permits. All building, construction and other permits necessary or required in connection with the construction of any Capital Improvements or any Tenant Improvements must be issued prior to the commencement of construction of any of the same. Borrower shall pay, or cause to be paid, all required fees in connection with such permits.

Borrower represents and warrants that all building, construction and other permits necessary or required in connection with the development of the Land and the construction of the Improvements have been validly issued and all fees and bonds required to be paid or posted in connection therewith have been paid or posted, as the circumstances may require.

All required fees have been or will be paid and bonds and/or other security have been posted in connection with all permits that have been issued, and adequate amounts are included in the Budget to pay all fees and the cost of all bonds and other security in connection with permits to be issued in the future. Borrower has all requisite Permits and all other licenses, permits, franchises, qualifications, or other governmental authorizations to own and lease the Land and/or Improvements, and to construct the Project and carry on its business, and to best knowledge of Borrower, Developer has all requisite licenses, Permits, franchises, qualifications, or other governmental authorizations to manage the construction of the Project (excluding any licenses any tenants must maintain to operate within the Project or the Property) and carry on its business.

All required fees have been or will be paid and bonds and/or other security have been or will be posted in connection with all permits that have been issued, and adequate amounts have been budgeted by Borrower to pay all fees and the cost of all bonds and other security in connection with permits to be issued in the future. Borrower will promptly obtain all permits required from Governmental Authorities to construct the Improvements to be constructed pursuant to the Plans and Specifications and, upon written request from Lender, Borrower shall send copies thereof to Lender. Following the issuance thereof, all permits will remain in full force and effect as necessary to complete the Improvements to be constructed pursuant to the Plans and Specifications.
